Chapter 3 - The Ghost Clause

Silence fell over the landing outside my apartment.

Vanessa frantically turned the crisp legal pages, her eyes scanning the dense lines of boilerplate text.

Daniel leaned over her shoulder, his brow furrowed in sudden panic.

"What is she talking about?" Daniel whispered.

"You told me the trust document was completely airtight."

"Shut up, Daniel," Vanessa snapped, shoving his arm away.

I stood behind the double-bolted door, holding my father's original leather-bound corporate binder.

I did not need to guess what was written on page forty-seven.

I had memorized every single word when I was twenty-two years old.

"My father knew you were a snake before you ever applied for the CEO position, Vanessa," I said into the intercom.

"He knew Daniel was weak, and he knew someone like you would eventually exploit him."

"Page forty-seven contains a testamentary revocable covenant."

"Any transfer of voting proxies executed without an in-person shareholder quorum is null and void upon the founder's bloodline declaration."

Vanessa's face twisted into an ugly mask of rage.

"That clause hasn't been ratified under current Delaware corporate statutes," Vanessa hissed through the speaker.

"It will take your lawyers six months of litigation to prove that document holds water."

"By next week, I will have merged Whitmore Dynamics into my private holding company and liquidated every asset you cherish."

"She's right, Claire," Miriam's voice came through my earpiece, tight with dread.

"Judge Sterling is notoriously corrupt and sits on the board of Vanessa’s charity foundation."

"If she files that merger tomorrow morning, the assets will vanish into offshore accounts before we can secure a preliminary injunction."

My heart hammered against my ribs, but my voice remained steady as ice.

"Then we don't file in Delaware," I told Miriam.

"We activate the Pentagon oversight protocol."

Outside, Vanessa shoved the papers back into the manila envelope.

She turned to Daniel with pure venom in her eyes.

"Get your clothes out of this building," Vanessa ordered him coldly.

"We are heading straight to the private hangar."

Daniel blinked, terrified.

"The hangar?" Daniel stammered.

"What about our press conference tomorrow morning?"

Vanessa sneered at him, stepping into the elevator.

"There is no press conference, you idiot."

"We are moving the prototype source code to Zurich tonight before the feds realize what you signed."

The elevator doors slid shut, leaving Daniel standing completely alone in the empty hallway.
